1. Acceptance of these Terms

These Terms of Use are entered into by and between you and Skyline Software Inc., a Delaware corporation ("Company," "Skyline," "we," "our," or "us"). These Terms of Use, together with any documents expressly incorporated by reference (collectively, the "Terms"), govern your access to and use of The Word.™ mobile application, the website located at www.theword.me, any web-based or mobile administrative portals, dashboards, organization management tools, business partner interfaces, application programming interfaces (APIs), and all related content, functionality, products, services, software, and features that Skyline makes available now or in the future (collectively, the "Platform").

Please read these Terms carefully before you start to use the Platform. By using the Platform or by clicking to accept or agree to these Terms when this option is made available to you, you accept and agree to be bound and abide by these Terms and our Privacy Policy, incorporated herein by reference. If you do not want to agree to these Terms or the Privacy Policy, you must not access or use the Platform.

Additional policies, including our Community Guidelines, Financial Contribution Terms, and other policies that we designate as applicable to particular features of the Platform, are incorporated into these Terms by reference where applicable.

The Platform is offered and available to entities (e.g., businesses and charities) ("Entities") and individual users who are 18 years of age or older, and reside in the United States or any of its territories or possessions. By using the Platform, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all of the foregoing eligibility requirements. If an individual using or registering for use of the Platform is doing so on behalf of an Entity, such individual is personally confirming that he/she/they has the authority to bind such Entity to these Terms. In such case, all references in these Terms to "you" shall mean such Entity. If you do not meet all of these requirements, you must not access or use the Platform.

The Platform is intended solely for use within the United States and its territories. The Company does not represent that the Platform or any portion of it is appropriate or available for use outside the United States. Persons who choose to access the Platform from outside the United States do so at their own initiative and are responsible for compliance with any applicable local laws.

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Platform thereafter.

We will attempt to notify you of material changes to these Terms. Regardless of such notice, your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.

3. Registering for the Platform and Account Security

To access the Platform or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Platform that all the information you provide on the Platform is correct, current, and complete. You agree that all information you provide to register with the Platform or otherwise, including, but not limited to, through the use of any interactive features on the Platform, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to the Platform or portions of it using your username, password, or other security information.

Users granted "administrative access" for an Entity will have the ability to function as a page administrator of such Entity and to access tools and features only available to those with administrative access.

Organizations are responsible for maintaining accurate administrator permissions and ensuring that only authorized individuals have access to Organization Accounts. The Company may rely upon instructions received from an authorized administrator until notified otherwise.

User accounts are licensed for use under these Terms and remain part of the Platform. Users receive a limited right to access and use their accounts in accordance with these Terms. Usernames, verification status, profile identifiers, and similar account attributes may be modified, reassigned, suspended, or removed by the Company in accordance with these Terms.

The Company may offer verification for certain individuals, organizations, businesses, nonprofits, schools, government entities, or other accounts. Verification indicates only that the Company completed certain verification procedures. It does not constitute an endorsement, recommendation, certification, or guarantee of the verified account or its activities.

You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.

We have the right to disable any username, password, or other identifier at any time in our sole discretion for any or no reason, including violation of these Terms.

4. Intellectual Property and Proprietary Rights

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Platform for your personal, non-commercial use only. However, if you are an Entity, these Terms permit you to use the Platform only in connection with your business. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as necessary to use the Platform for its intended purposes as indicated on the Platform.

Permission to use one item of content does not grant permission to use any other Platform content or intellectual property. The Company reserves the right to approve or deny any request in its sole discretion and may impose conditions or limitations on any authorized use.

Nothing in these Terms grants any right to use the Company's trademarks, service marks, logos, trade dress (including the distinctive visual appearance and user interface of the Platform), Community Impact Score™, badges, graphics, screenshots, promotional materials, or other branding without the Company's prior written consent, except as expressly authorized through the Platform.

Except for the limited, revocable, non-exclusive, non-transferable license expressly granted under these Terms, no right, title, or interest in or to the Platform is transferred to you. The Company retains all right, title, and interest in and to the Platform and all related software, source code, object code, databases, algorithms, methodologies, scoring systems, artificial intelligence models, machine learning processes, user interface designs, graphics, text, audiovisual content, trademarks, service marks, trade names, logos, domain names, inventions, trade secrets, proprietary technology, and all other intellectual property and proprietary rights associated with the Platform, whether registered or unregistered.

Without limiting the foregoing, The Word.™, Community Impact Score™, and any related names, logos, slogans, features, scoring methodologies, rankings, badges, point systems, leaderboards, reward systems, and community engagement metrics are proprietary to the Company and are protected by applicable intellectual property laws. Certain trademarks and service marks may be the subject of pending applications or future registrations, and the Company reserves all common law and statutory rights associated with such intellectual property.

You may not copy, reproduce, reverse engineer, decompile, modify, distribute, license, sublicense, sell, lease, create derivative works from, publicly display, commercially exploit, or otherwise use any portion of the Platform or its underlying technology except as expressly permitted by these Terms or with the Company's prior written consent.

Any unauthorized use of the Platform or its intellectual property may violate copyright, trademark, patent, trade secret, and other applicable laws and may result in termination of your account, legal action, and any other remedies available under applicable law.

Except for the limited rights expressly granted in these Terms, the Company reserves all rights, title, and interests in and to the Platform and its intellectual property. No license or other right shall be implied by estoppel, waiver, or otherwise.

Feedback

You represent and warrant that you have the legal right to provide any Feedback submitted to the Company and that such Feedback does not infringe or misappropriate the intellectual property or other rights of any third party.

We welcome comments, ideas, suggestions, feedback, enhancement requests, recommendations, and other information relating to the Platform or our products and services ("Feedback"). If you choose to provide Feedback to the Company, you acknowledge and agree that:

6. User Contributions, Commercial Content, and Organization Content

The Platform may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, "post") content or materials (collectively, "User Contributions") on or through the Platform. For any Entity, your presence on the Platform may require trademarks, logos and other marketing materials associated with your operation ("Commercial Content"). You may upload your Commercial Content to the Platform or confirm the accuracy and completeness of the Commercial Content that we may have separately obtained. In addition, the Platform may include information and materials relating to an Entity and its activities, including photographs, videos, organization descriptions, website information, event information, volunteer opportunities, programs, campaigns, Community Challenges, Adventures, and other publicly available information or promotional materials (collectively, "Organization Content"). Organization Content may include content that an Entity submits directly to the Platform as well as content that Skyline obtains from the Entity's official website, official social media accounts, press materials, event pages, or other official public-facing channels maintained or authorized by the Entity.

If you create, claim, administer, manage, or authorize an account or page on behalf of an Entity, you authorize Skyline to obtain, reproduce, display, format, resize, adapt, publish, and otherwise use Organization Content that the Entity has made publicly available through such official channels for purposes of operating the Platform; creating and maintaining the Entity's page; displaying or promoting the Entity and its events, volunteer opportunities, Community Challenges, Adventures, programs, campaigns, and other activities; and promoting the Platform and community activities featured on the Platform.

All User Contributions, Commercial Content, and Organization Content must comply with the Content Standards set out in these Terms.

Any User Contribution you post to the Platform and, if applicable, any Commercial Content that you provide or approve, and any Organization Content that you provide, approve, authorize, or make publicly available through the official channels described above, will be considered non-confidential and non-proprietary, except to the extent otherwise required by applicable law or our Privacy Policy.

By submitting, posting, uploading, transmitting, displaying, or otherwise making available any User Contribution or Commercial Content through the Platform, or by providing, approving, authorizing, or making Organization Content publicly available through the official channels described above, you grant the Company and its affiliates, service providers, successors, assigns, and licensees a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable license to host, store, reproduce, modify, adapt, translate, publish, distribute, publicly display, publicly perform, create derivative works from, and otherwise use such content solely for the purposes of:

Subject to the rights granted in these Terms, you retain ownership of your original content and any other rights you may have in Commercial Content or Organization Content.

The Company may use User Contributions to operate, improve, secure, develop, test, and evaluate Platform features, including features that use artificial intelligence or machine learning, in accordance with our Privacy Policy.

Certain information contained in user profiles, organization pages, business pages, nonprofit pages, event listings, fundraising campaigns, volunteer opportunities, and other publicly shared content may be visible to other users of the Platform and, where applicable, to the general public. By choosing to make content publicly available, you acknowledge that such content may be viewed, shared, and interacted with by others consistent with the functionality of the Platform.

The Platform may display badges, recognitions, achievements, Community Impact Scores™, participation history, volunteer milestones, or similar indicators based on user activity or information available to the Company. Such indicators are provided solely to enhance user engagement and community participation. The Company does not guarantee the accuracy, completeness, or permanence of any such indicators and reserves the right to modify, remove, or recalculate them at any time in its sole discretion.

You represent and warrant that:

If you do not own or control the rights to any photograph, video, image, or other material, or do not have the rights, permissions, or consents necessary to authorize Skyline's use of such material as provided in these Terms, you must not provide, approve, authorize, or otherwise make such material available for use by Skyline.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute and, if applicable, all Commercial Content that you provide or approve, and all Organization Content that you provide, approve, authorize, or make publicly available through the official channels described above, and you, not the Company, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness. We are not responsible or liable to any third party for the content or accuracy of any User Contributions or Commercial Content or Organization Content posted, provided, approved, authorized, or otherwise made available by you or any other user or Entity of the Platform.

7. Monitoring and Enforcement; Termination

We have the right to:

Although the Company reserves the right to monitor content, user activity, and use of the Platform, the Company has no obligation to monitor every post, message, event, organization page, fundraising campaign, or other activity occurring on the Platform. The Company does not guarantee that objectionable, inaccurate, misleading, or unlawful content will be identified or removed before it is viewed by users.

The Company may investigate suspected fraud, abuse, manipulation, or other violations of these Terms and may cooperate with law enforcement or governmental authorities where appropriate. The Company may preserve records, suspend accounts during an investigation, reverse Platform rewards or recognitions, adjust Community Impact Scores™, or take any other action reasonably necessary to protect the integrity, security, and reputation of the Platform.

The Company may, but has no obligation to, review, screen, monitor, edit, or remove User Contributions, Organization Content, Commercial Content, messages, events, fundraising campaigns, organization pages, or other materials before or after they are posted on the Platform. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

8. Content Standards

These content standards apply to all User Contributions, Commercial Content, Organization Content, and use of Interactive Services. User Contributions, Commercial Content, and Organization Content must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions, Commercial Content, and Organization Content must not:

The Company reserves the right, but not the obligation, to determine in its sole discretion whether any content violates these Content Standards or is otherwise inconsistent with the purpose, integrity, safety, or community-focused mission of the Platform. Content may be removed even if it does not specifically violate one of the examples listed above.

If you believe that material on the Platform is infringing a copyright, then you should send us a DMCA takedown notice. Please use this form or provide us all of the information specified in that form, including your signature in which you attest, under penalty of perjury, that the information provided is accurate. If you believe your content was removed or disabled as a result of mistake or misidentification, you may submit a counter-notification in accordance with the Digital Millennium Copyright Act. The Company will process valid counter-notifications as required by applicable law.

The Company reserves the right, in appropriate circumstances and at its sole discretion, to suspend or terminate the accounts of users who are determined to be repeat copyright infringers.

10. Reliance on Information Posted

The information made available through the Platform is provided for general informational and community engagement purposes only. While the Company strives to provide a useful and reliable Platform, the Company does not warrant or guarantee the accuracy, completeness, timeliness, reliability, legality, or usefulness of any information appearing on the Platform.

Information regarding organizations, businesses, nonprofits, schools, churches, government agencies, volunteer opportunities, fundraising campaigns, donations, events, Community Impact Scores™, badges, rankings, participation history, or other Platform content may be provided by users, organizations, third parties, or automated processes and may change without notice.

Users are solely responsible for independently verifying any information before relying upon it, including confirming the legitimacy of organizations, volunteer opportunities, events, fundraising campaigns, or requests for donations.

The Platform includes content provided by third parties, including materials provided by other individual users as well as Entities. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by the Company, are solely the opinions and the responsibility of the person or Entity providing those materials. These materials do not necessarily reflect the opinion of the Company. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties. The Company does not endorse, recommend, certify, or guarantee any user, organization, business, nonprofit, event, fundraising campaign, volunteer opportunity, or other activity solely because it appears on the Platform.

11. Changes to the Platform

The Company continually develops and improves the Platform. Accordingly, we reserve the right, at any time and in our sole discretion, to modify, suspend, discontinue, replace, remove, or add any feature, functionality, service, program, reward, badge, Community Impact Score™ methodology, ranking system, organization page, event feature, fundraising feature, subscription offering, or other aspect of the Platform, with or without notice.

We may also impose limits on certain features, restrict access to portions of the Platform, or discontinue support for older versions of the Platform or certain devices. The Company shall not be liable if any feature or portion of the Platform is modified, suspended, or discontinued.

We may update the content on the Platform from time to time, but its content is not necessarily complete or up-to-date. Any of the material on the Platform may be out of date at any given time, and we are under no obligation to update such material. Information appearing on the Platform may change frequently. User-generated content, organization information, business information, volunteer opportunities, fundraising campaigns, events, Community Impact Scores™, badges, rankings, and other Platform content may be updated, modified, or removed at any time without notice. The Company has no obligation to maintain any particular content, feature, historical data, or archived information.

From time to time, the Company may make available beta, preview, experimental, early access, or trial features ("Beta Features"). Beta Features are provided "as is" and may contain errors, be incomplete, or be discontinued at any time without notice. The Company makes no representations or warranties regarding Beta Features and may modify or remove them at its sole discretion.

12. Financial Contributions Terms

The Platform may enable users to make financial contributions, donations, sponsorships, purchases, registration fees, or other payments (collectively, "Financial Contributions") to businesses, nonprofit organizations, schools, churches, civic organizations, government agencies, event organizers, fundraising campaigns, or other organizations participating on the Platform ("Recipients").

The Company provides the technology that facilitates these transactions but is not the recipient, beneficiary, fiduciary, trustee, fundraising solicitor, financial institution, or payment processor unless expressly stated otherwise.

Financial Contributions made through the Platform are processed by one or more independent third-party payment processors, including, where applicable, Stripe, Inc. or its affiliates ("Payment Processor"). By submitting a Financial Contribution, you agree to be bound by the applicable terms, conditions, and privacy policies of the Payment Processor. The Company does not collect, store, or process complete payment card information except as necessary to facilitate transactions through the Payment Processor. The Company is not responsible for the acts, omissions, availability, security, or performance of any Payment Processor.

By initiating a Financial Contribution, you represent and warrant that you are authorized to use the payment method provided and authorize the applicable Payment Processor to charge the designated payment method for the full amount of the transaction, together with any applicable taxes or fees disclosed before the transaction is completed.

Unless otherwise expressly stated, Financial Contributions are final once successfully processed. Refund requests should first be directed to the applicable Recipient. The Company has no obligation to issue refunds for donations or other Financial Contributions made to Recipients unless required by applicable law.

Users agree not to initiate unwarranted chargebacks or payment disputes. The Company reserves the right to suspend or terminate accounts that engage in fraudulent or abusive chargeback activity.

Organizations receiving Financial Contributions through the Platform may be required to complete identity verification, banking verification, tax documentation, or other onboarding requirements established by the Company or the applicable Payment Processor. The Company reserves the right to approve, deny, suspend, or terminate any organization's ability to receive Financial Contributions through the Platform.

The Company and its Payment Processor reserve the right to review, delay, refuse, suspend, or cancel any Financial Contribution if fraud, money laundering, unauthorized activity, sanctions compliance concerns, or violations of these Terms are reasonably suspected. The Company may cooperate with financial institutions, payment processors, and law enforcement authorities in investigating suspected fraudulent activity.

You are solely responsible for determining whether a Recipient, fundraising campaign, event, business, nonprofit, or other organization is appropriate for your support. The Company does not investigate, audit, certify, endorse, guarantee, or verify every Recipient appearing on the Platform and makes no representation regarding the legality, financial condition, tax status, qualifications, charitable purpose, or effectiveness of any Recipient.

The Company does not provide tax, accounting, financial, or legal advice. Users are solely responsible for determining whether any Financial Contribution qualifies for a tax deduction or other tax benefit. Any questions regarding tax treatment should be directed to a qualified tax advisor and, where appropriate, to the Recipient.

13. Community Challenges and Adventures

From time to time, the Platform may recognize and/or reward participation in Community Challenges, Adventures, campaigns, contests, recognition programs, reward programs, or other participation-based activities (collectively, "Activities"). Activities may be offered by Skyline or by third parties. For Activities offered, sponsored, or administered by Skyline, Skyline may establish, modify, suspend, or cancel any Activity, including its rules, eligibility requirements, scoring methodology, participation requirements, prizes, rewards, deadlines, winners, or completion criteria, at any time and in its sole discretion.

Skyline reserves the right to investigate suspected fraud, manipulation, false reporting, misuse of the Platform, or any other conduct that undermines the integrity of a Skyline-sponsored or administered Activity and may disqualify participants, adjust Community Impact Scores™, rankings, badges, progress, rewards, or prizes, or remove a participant from an Activity where Skyline reasonably determines such action is appropriate.

Unless expressly stated otherwise in the official rules for a particular Activity, participation does not create any contractual or vested right to receive any prize, reward, recognition, badge, ranking, Community Impact Score™, incentive, or other benefit. For Activities offered, sponsored, or administered by Skyline, Skyline's decisions regarding eligibility, participation, completion, scoring, rankings, rewards, and winners shall be final and binding. Certain Activities may be subject to additional official rules, eligibility requirements, disclosures, or terms, which will be made available in connection with the applicable Activity and are incorporated into these Terms by reference.

Skyline-sponsored or Skyline-administered events, Community Challenges, Adventures, and other activities may be photographed, filmed, or otherwise recorded by Skyline or its authorized representatives. Where notice is provided in connection with an Activity, by registering for or attending the Activity, you acknowledge that photography, video, and audio recording may occur and, to the extent permitted by applicable law, consent to Skyline's use, reproduction, publication, display, distribution, editing, and other use of photographs, video, or recordings in which you appear for purposes related to the Platform and Skyline's activities, including event coverage, community engagement, promotional and marketing materials, the Platform, Skyline's website, social media, and similar communications, without additional compensation.

Where required by applicable law, Skyline will obtain any additional consent necessary for such use. If you do not wish to be photographed or recorded at a Skyline-sponsored or Skyline-administered Activity, you should notify Skyline or event staff, and Skyline will make reasonable efforts to accommodate your request.

14. Third-Party Events and Activities

The Platform may provide information about or connect users with events, volunteer opportunities, Community Challenges, Adventures, campaigns, contests, reward programs, activities, businesses, nonprofit organizations, and other third-party opportunities. Unless expressly stated otherwise, Skyline does not organize, sponsor, supervise, manage, or control third-party events or activities, does not control or assume responsibility for conditions at event or activity locations, and does not screen, investigate, or independently verify every event organizer, host, organization, or opportunity made available through the Platform. Users are responsible for evaluating whether to participate and for taking appropriate precautions. Participation in third-party events and activities is at the user's own risk.

The Platform may display photographs, videos, and other content relating to third-party events, volunteer opportunities, Community Challenges, Adventures, campaigns, programs, and other activities. Such content may be provided or authorized by event organizers, participating organizations, users, or other persons or entities possessing the necessary rights, or may constitute Organization Content Skyline is authorized to use under these Terms. The person or entity providing or authorizing such content is responsible for having the rights, permissions, and consents necessary to permit Skyline to use the content as provided in these Terms.

Skyline may also photograph or record a third-party event or activity where Skyline has obtained appropriate permission from the event organizer and has obtained or confirmed any other permissions, notices, or consents required by applicable law. Skyline's photographing, recording, displaying, or promoting a third-party event or activity does not, by itself, mean that Skyline sponsors, organizes, administers, supervises, manages, or controls that event or activity.

15. Linking to the Platform and Social Media Features

You may link to our homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part.

The Platform may provide features that allow users to share content, events, volunteer opportunities, organizations, Community Challenges, Community Impact Scores™, badges, achievements, invitations, fundraising campaigns, and other Platform content through social media platforms or other third-party services. You agree to cooperate with us in causing any unauthorized framing or linking immediately to stop. We reserve the right to withdraw linking permission without notice.

We may disable all or any social media features and any links at any time without notice in our discretion.

You are solely responsible for ensuring that any content you share complies with these Terms and the terms of the applicable third-party platform.

The Platform contains links to other sites and resources provided by third parties. These links are provided for your convenience only. This includes links contained in descriptions of the businesses and charities that are featured on the Platform. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party websites linked to the Platform, you do so entirely at your own risk and subject to the terms and conditions of use for such websites.

Your use of the platform, its content, and any services or items obtained through the Platform is at your own risk. The Platform, its content, and any services or items obtained through the platform are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. Neither the Company nor any person associated with the Company makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the Platform. Without limiting the foregoing, neither the Company nor anyone associated with the Company represents or warrants that the Platform, its content, or any services or items obtained through the Platform will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, that the Platform or the server that makes it available are free of viruses or other harmful components, or that the Platform or any services or items obtained through the Platform will otherwise meet your needs or expectations.

Without limiting the foregoing, we do not make any representation or warranty regarding any Entity with which you may connect or to which you may make a contribution through the Platform, including the tax treatment that may apply to any such contribution. The terms of such contributions are between you and such Entity.

To the fullest extent provided by law, the Company hereby disclaims all warranties of any kind, whether express or implied, statutory, or otherwise, including but not limited to any warranties of merchantability, non-infringement, and fitness for particular purpose. The foregoing does not affect any warranties that cannot be excluded or limited under applicable law.

18. Limitation on Liability

To the fullest extent provided by law, in no event will the Company, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Platform, any websites linked to it, any content on the Platform or such other websites, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.

To the fullest extent provided by law, in no event will the collective liability of the Company and its subsidiaries and affiliates, and their licensors, service providers, employees, agents, officers, and directors, to any party (regardless of the form of action, whether in contract, tort, or otherwise) exceed $100.

The above limitations do not apply to liability resulting from our gross negligence or willful misconduct or claims for death or bodily injury. The foregoing does not affect any liability that cannot be excluded or limited under applicable law.

19. Indemnification

You agree to defend, indemnify, and hold harmless The Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, demands, actions, causes of action, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform, including, but not limited to, your User Contributions, Commercial Content, Organization Content, any use of the Platform's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Platform. This also includes without limitation:

Cooperation. The Company reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. You agree to cooperate fully with the Company in the defense of any such claim and may not settle any claim affecting the Company without the Company's prior written consent.

20. Governing Law and Jurisdiction

All matters relating to the Platform and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision or rule that would result in the applications of the laws of another jurisdiction.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Platform shall be instituted exclusively in the state or federal courts with jurisdiction over Delaware, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in the jurisdiction where you are located. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

To the fullest extent permitted by law, each party knowingly and voluntarily waives any right to a trial by jury in any action or proceeding arising out of or relating to these Terms or the Platform.

21. Arbitration

At the Company's sole discretion, it may require you to submit any disputes arising from these Terms or use of the Platform, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Comprehensive Arbitration Rules of JAMS applying Delaware law.

Notwithstanding the foregoing, the Company may seek temporary, preliminary, or permanent injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, trade secrets, or other proprietary rights.

To the fullest extent permitted by law, you and the Company agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, representative, or private attorney general action.

This arbitration provision shall survive the termination of your account and these Terms.

22. Limitation on Time to File Claims

Any cause of action or claim you may have arising out of or relating to these Terms or the Platform must be commenced within 1 year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.

23. Waiver and Severability

No waiver by the Company of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

24. Entire Agreement

The Terms and our Privacy Policy constitute the sole and entire agreement between you and us regarding the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Platform.
